Terms and Conditions for Contractor-Supplied Components

The following terms supplement Nordic Offsite’s general Sales and Delivery Terms, available at Nordic Offsite’s website. If a later version of these terms exists at the time of contract issuance, the latest version shall prevail. These terms apply unless otherwise agreed in writing.
1. Definition and Scope
1.1 Contractor-Supplied Components
If a contract specifies that Nordic Offsite shall install or assemble components procured and supplied by the Contractor, such items are classified as Contractor-Supplied Components.
Contractor-Supplied Components—particularly those categorised as Special Components—are subject to distinct rules regarding liability, risk, installation, and inspection. These differ from the rules that apply to components ordinarily procured and installed by Nordic Offsite.
2. Standard Components
For Contractor-Supplied Components classified as Standard Components, the same general rules apply as for components that Nordic Offsite normally procures and installs.
Nordic Offsite shall:
ensure correct installation, and
ensure correct functionality after installation.
The Contractor shall:
ensure timely delivery of Standard Components to Nordic Offsite at the agreed location.
Nordic Offsite is not liable for hidden defects or developmental defects in Standard Components.
Certain provisions described later in this document may also apply to Standard Components.
3. Special Components
3.1 Definition
Special Components are components that Nordic Offsite does not normally install, including but not limited to:
high-cost components
advanced control systems
integrated sensors
specialised ventilation or water-collection systems
For Special Components, Nordic Offsite assumes limited liability for installation and accidental loss, subject to the conditions outlined below.
4. Installation Instructions and Hidden Defects
The Contractor (or its representative) must provide adequate installation and storage instructions for Special Components, including manuals and technical documentation.
Nordic Offsite shall not be liable for:
installation errors caused by inadequate or unclear instructions
hidden defects or developmental faults in Special Components
5. Delivery, Delays, and Risk Transfer
5.1 Delivery Responsibility
The Contractor is solely responsible for all commercial, quality, and delivery arrangements with its supplier.
5.2 Delays
Nordic Offsite is not responsible for delays or costs associated with delays in delivering Contractor-Supplied Components.
Delivery shall take place at Nordic Offsite’s factory in Poland, at the Contractor’s cost and risk.
If delays occur, Nordic Offsite may recover associated costs and losses in accordance with UK contract law.
Nordic Offsite is entitled to a corresponding extension of time for any delay in supplying Contractor-Supplied Components.
6. Accidental Damage, Theft, and Loss
The risk of accidental loss or damage (including theft or vandalism) passes to Nordic Offsite upon delivery, except where:
the component is particularly valuable, or
the component is especially theft-prone,
in which case the risk remains with the Contractor. Separate insurance is advised.
For fragile components or items susceptible to transport damage, Nordic Offsite is not liable for such damage unless caused by gross negligence.
7. Waste, Defects, and Replacement
A standard level of material waste occurs during pod production. The Contractor shall:
cover all costs associated with waste for Contractor-Supplied Components
supply surplus units to accommodate expected waste levels
If defective components are discovered during installation:
the Contractor must replace them at no cost to Nordic Offsite
delays caused by defects or resupply are treated according to the delay provisions above
8. Inspection and Control Procedures
Some Special Components have strict functionality requirements and cannot be repaired once pods leave the factory. Therefore, special inspection procedures may apply.
Nordic Offsite is willing to agree on specific inspection protocols with the Contractor.
If no such agreement is reached, the following default procedure applies:
Procedure
Nordic Offsite notifies the Contractor when installation is complete.
The Contractor or an authorised third party must physically inspect the components at the factory.
A written report confirming correct installation and functionality must be submitted.
Any deficiencies must be reported immediately for rectification.
If the Contractor fails to conduct an inspection:
Nordic Offsite is not liable for installation or functionality issues that could reasonably have been identified.
If Contractor-related inspection processes cause delays:
Nordic Offsite is not responsible
Nordic Offsite is entitled to a time extension and, where applicable, compensation for additional costs
9. Guarantee, Quality Assurance, and Maintenance
Nordic Offsite normally provides a 5-year product guarantee for its own standard products, together with maintenance and QA documentation.
This guarantee does not apply to Contractor-Supplied Components.
The Contractor is responsible for:
all defects in Contractor-Supplied Components
all consequential damages arising from such defects
ensuring material compatibility with Nordic Offsite’s standard pod materials
Nordic Offsite does not provide maintenance instructions or QA documentation for Contractor-Supplied Components, except for the installation work it performs.
10. Governing Principles
These terms ensure transparent allocation of responsibilities, risks, and liabilities relating to Contractor-Supplied Components and comply with UK contract law principles.
